Please read these Terms of Service ("Terms") carefully before using the No More Later mobile application ("App", "Service"). These Terms form a legally binding agreement between you and No More Later ("we", "us", or "our"). By creating an account or using the App you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
By downloading, installing, or using No More Later, you agree to these Terms. If you do not agree, you must not use the App. Your continued use of the App after we post updated Terms constitutes acceptance of those changes.
These Terms apply to all visitors, users, and others who access or use the Service. If you are using the App on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You must be at least 18 years of age to use No More Later. By agreeing to these Terms, you represent and warrant that:
We reserve the right to request proof of age at any time and to terminate accounts that do not meet the eligibility requirements.
No More Later is a commitment-contract platform. It helps you follow through on personal goals by attaching a financial consequence to failure — a concept used by services such as Beeminder and Forfeit.
You create a task, set a deadline, and voluntarily choose a penalty amount ("Penalty") to be charged to your payment card if you do not complete the task on time. The penalty amount is entirely your choice and is set before the commitment begins.
No More Later is not a gambling or wagering platform. The outcome of every commitment is entirely within your control: you succeed by completing your task and submitting verified proof, or you fail by not doing so. There is no element of chance, no random outcomes, no house advantage, and no third-party winners. The penalty exists solely as a personal motivational tool that you set and agree to in advance.
If you fail to submit adequate proof of completion by your deadline, the penalty you chose will be charged to the payment card you have on file. Charges on legitimate failures are non-refundable (see Section 4). You accept this consequence freely and voluntarily when you create a commitment.
To create a commitment with a financial penalty, you must add a valid payment card to your account. Payment processing is handled by Stripe, Inc. By adding a card, you authorize us (through Stripe) to charge the penalty amount to that card upon verified failure. You must keep your payment information current and accurate.
A penalty charge is triggered only when both of the following conditions are met:
We will not charge your card for any reason other than a verified failure on a commitment you created.
Penalty charges for legitimate failures — meaning you did not complete your task and valid proof was not submitted or verified — are non-refundable. This is a core feature of the commitment-contract model: the consequence must be real to be effective.
If you believe a charge was made in error (for example, due to a technical fault on our end), you may contact us at support@nomorelater.app within 14 days of the charge. We will investigate and, if we confirm the error, issue a refund. Initiating a chargeback or dispute with your card issuer without first contacting us may result in account suspension (see Section 13).
Your use of the payment features is also subject to Stripe's Terms of Service and Privacy Policy. We do not store your full card details; they are handled securely by Stripe.
To mark a commitment as complete, you must submit a photo ("Proof Photo") demonstrating that you have accomplished your task. The Proof Photo must be a genuine, unaltered photograph taken by you that clearly shows evidence of task completion.
Proof Photos are evaluated by an automated AI system powered by GPT-4 Vision ("AI Verifier"). The AI Verifier analyzes your photo and determines whether it constitutes adequate proof of task completion based on the task description you provided. This process is automated — it is not reviewed by a human in the first instance.
The AI Verifier's decision is binding subject to the dispute process in Section 6. If the AI Verifier accepts your Proof Photo, your task is marked complete and no penalty is charged. If the AI Verifier rejects your photo, you will be notified and the penalty process will proceed unless you initiate a dispute within the required window.
We make no warranty that AI verification is error-free or infallible. AI systems can make mistakes. The dispute process in Section 6 exists precisely to address cases where you believe the AI made an incorrect determination. We will not be liable for losses arising from AI verification errors that are addressed through the dispute process.
Proof Photos you submit are processed by third-party AI services. Please refer to our Privacy Policy for details on how photo data is stored, processed, and retained. Do not include sensitive personal information in your Proof Photos.
If the AI Verifier rejects your Proof Photo and you believe the decision is incorrect, you may submit a dispute within 24 hours of your task deadline. Disputes submitted after this window will not be accepted and the penalty charge will proceed.
To initiate a dispute, navigate to the relevant task in the App and select "Dispute Verification." You will be asked to provide a brief explanation of why you believe the AI decision was incorrect. You may also provide supplemental evidence.
Disputes may be reviewed by a member of our team. We will endeavor to review disputes and communicate a decision within 5 business days, though this timeline is not guaranteed. During the dispute review period, your card will not be charged.
The outcome of a human-reviewed dispute is final. If the dispute is resolved in your favor, no penalty will be charged. If the dispute is resolved against you, the penalty charge will be applied. No further appeals are available within the App.
The dispute process in this Section 6 relates solely to AI verification outcomes within the App. Legal disputes between you and No More Later are governed by the arbitration provisions in Section 11.
Extension Tokens are finite virtual items that allow you to extend the deadline of an active commitment. They are not cash, do not have monetary value, and cannot be redeemed for money or a refund.
No More Later may offer an optional premium subscription ("Subscription") that unlocks additional features. Subscriptions are offered and managed through Apple's App Store and are subject to Apple's In-App Purchase terms.
Extension Tokens and any in-app virtual items have no cash value and do not constitute property. We may modify, suspend, or discontinue virtual items at any time. You have no right to compensation for changes to virtual items.
You agree that you will not, under any circumstances:
If we determine, in our sole discretion, that you have engaged in prohibited conduct: the penalty for the relevant commitment may be charged regardless of any submitted proof; your account may be suspended or permanently terminated; and we may pursue any legal remedies available to us, including claims for fraud or breach of contract.
The App, its content, features, functionality, design, trademarks, and branding ("No More Later IP") are and remain the exclusive property of No More Later and its licensors. These Terms do not grant you any rights in or to the No More Later IP except for the limited license to use the App described below.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App for your personal, non-commercial purposes.
You retain ownership of the Proof Photos and other content you submit to the App ("User Content"). By submitting User Content, you grant us a worldwide, royalty-free, non-exclusive license to use, process, and store that content solely for the purpose of operating and improving the Service, including AI verification. We will not sell your Proof Photos to third parties.
If you submit suggestions, ideas, or feedback about the App ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use and incorporate that Feedback into the Service without obligation to you.
Nothing in these Terms limits or excludes any rights you may have as a consumer under applicable mandatory laws that cannot be waived by contract.
Before initiating arbitration, you must give us an opportunity to resolve the Dispute informally. Send a written notice describing your claim to support@nomorelater.app. We will attempt to resolve the Dispute within 30 days of receiving your notice. If we cannot resolve the Dispute informally within that period, either party may initiate arbitration.
Arbitration shall be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, available at www.adr.org. Arbitration may be conducted remotely by telephone or video conference unless you request an in-person hearing. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Notwithstanding the agreement to arbitrate, either party may bring claims: (a) in small claims court if the claim qualifies; or (b) seeking emergency injunctive or other equitable relief to prevent the actual or threatened misappropriation of intellectual property or unauthorized access to the App.
You may opt out of this arbitration agreement by sending written notice to support@nomorelater.app within 30 days of first accepting these Terms. Your opt-out notice must include your name, email address, and a statement that you wish to opt out of arbitration. Opting out does not affect any other provision of these Terms.
These Terms and any Dispute between you and No More Later shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. Subject to the arbitration agreement in Section 11, any action not subject to arbitration shall be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of those courts.
You may delete your account at any time through the App's account settings. Deleting your account does not cancel any pending penalty charges that arose before deletion.
We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or abusive conduct including submission of fraudulent Proof Photos, initiated unauthorized chargebacks or payment disputes, or engaged in any conduct that may harm the App, its users, or No More Later.
Upon termination, your license to use the App immediately ceases. Extension Tokens and subscription benefits are forfeited without refund. Any outstanding penalty charges that accrued before termination remain due and payable. Sections 4, 8, 9, 10, 11, 12, and 16 survive termination.
We may update these Terms from time to time. When we make material changes, we will notify you by push notification, email, or in-app message at least 7 days before the changes take effect. The "Last Updated" date at the top of this document reflects the most recent revision.
Your continued use of the App after updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the App and may delete your account.
Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and share information about you, including Proof Photos and payment data. By using the App, you agree to the collection and use of your information as described in the Privacy Policy.
